INVITATION TO EXPRESS INTEREST
in implementation of the project:
Construction of a deep-water container terminal
in the external port in Świnoujście

1. Introduction

SZCZECIN and ŚWINOUJŚCIE SEAPORTS AUTHORITY S.A. with headquarters in Szczecin, address: Bytomska Str No. 7, 70-603 Szczecin, entered in the Register of Entrepreneurs of the National Court Register under the number: KRS 0000033768, registration court: Szczecin-Centrum District Court in Szczecin, amount of share capital: 14.905.800,00 PLN (paid in full), REGON: 811649448, NIP: 9551889161 (hereafter: „ZMPSiŚ S.A.”), acting to ensure further dynamic development of seaports in Szczecin and Świnoujście, made efforts to prepare an investment consisting in the construction by an investor at his expense and risk of a deep-water container terminal in Świnoujście with an estimated annual handling capacity of approx. 2.0 million TEU (with the possibility of staging of the project).  According to the assumptions of the project mentioned above, the deep-water container terminal in Świnoujście shall act as a hub capable of handling the largest container ships that can enter the Baltic Sea. ZMPSiŚ S.A. expects that the implementation of the project shall be based on the Act of August 9, 2019 on investments in the construction of external ports (Journal of Laws of 2019, item 1924), facilitating and accelerating the preparation and implementation of this investment.

2. Location - current conditions

The deep-water container terminal in Świnoujście will be built at the eastern side of the breakwater protecting the existing external port (the existing Eastern Breakwater), and in the immediate vicinity of the land part of the existing LNG terminal. The natural border separating both terminals is the eastern breakwater and Ku Morzu St., ending in the northern part with a loop road and a passenger car park.

The area planned for the land part of the investment is located on undeveloped land and is intended for road and rail access along with the necessary infrastructure. The majority of this area is forested and shrubby (approx. 90%), while in the northern part there is a strip of beaches and dunes about 90 m wide.
The sea area designated for the investment is an undeveloped water body. There are no elements of hydro technical constructions on it that would be intended for demolition or possible use.
At present, there are activities of ZMPSiŚ S.A. underway, regarding the preparation of a report on the environmental impact of the entire investment consisting in the construction of a deep-water container terminal in Świnoujście, as well as regarding obtaining a decision on the environmental conditions for the implementation of this project. The estimated date of obtaining the decision on environmental conditions for all parts of the investment consisting in the construction of a deep-water container terminal in Świnoujście together with access infrastructure is the end of July 2020. ZMPSiŚ  S.A. expects that the decision on the environmental conditions received for the project will be assigned to the investor to the extent corresponding to the part of the investment that will be implemented by the investor.

2.1. Connection of the designed terminal with the hinterland

The external port in Świnoujście, apart from the direct access to the sea, has convenient connection from the hinterland. In the immediate vicinity of the location of the planned deep-water container terminal in Świnoujście there are national roads No. 93 and No. 3 (entered into the European route network with the symbol E65, connecting the Scandinavian countries with the countries of the Mediterranean basin, as part of the Baltic-Adriatic corridor, within the TEN-T core network). The railway connection of the location of the planned deep-water container terminal in Świnoujście is provided by the railway line No. 401, which through the E59 and C-E 59 lines gains a direct access to the largest industrial centres in Poland and abroad.
In the design assumptions for the deep-water container terminal in Świnoujście, with handling volume at the level of 1.5 million TEU per year, inland incoming and outgoing traffic will be handled by road and rail.

• Roads

The extension of part of national road No. 3 connecting Szczecin and Świnoujście to the standard of an express road is an essential element of the efficient operation of the deep-water container terminal in Świnoujście.
The General Directorate for National Roads and Motorways (GDDKiA) commenced construction works on two sections: between Mięków and Brzozowo, and Troszyn and the seaport in Świnoujście. Completion of all modernization works in the above-mentioned scope will take place in 2024 at the latest.

• Rail

The Świnoujście Port railway station is located at the end of the railway line No. 401 Szczecin Dąbie - Świnoujście Port and is also the initial station of the international transport lines C 59 and C-E 59.

Direct access to the deep-water container terminal in Świnoujście will be modernized and streamlined as a result of the investments being currently implemented by PKP Polish Railway Lines S.A.: "Improving rail access to the ports of Szczecin and Świnoujście". The investment in this scope will be completed by the end of 2022.

2.2    Sea access

The fairway to the External Port in Świnoujście and the planned deep-water container terminal in Świnoujście leads through the Pomeranian Bay. From the point of view of assessing the amount of the water depth under the keel, this route can be divided into the following parts (Fig. 3):

  • western part of the approach fairway: along its entire length, the maximum guaranteed technical depth is 14.5 m, which allows safe navigation of container ships with draft T = 13.0 m at their maximum speeds;
  • northern part of the approach fairway: its current minimum depth is 14.5 m and width 220 m. Further modernization and deepening of the fairway to a maximum technical depth of 17.0 m is planned. Therefore, all hydro technical facilities of the planned deep-water container terminal in Świnoujście will already be designed for 17.0 m technical depth, which will enable handling of vessels with a draft of up to 15.5 m.

3. Description of the proposed project

In the year 2017, ZMPSiŚ S.A. developed a technical and program concept for the investment involving the construction of a deep-water container terminal in Świnoujście. Based on this concept, the optimal location of the deep-water container terminal in Świnoujście was determined and proposals related to access to this terminal by land and sea as well as proposals of construction solutions for the basic facilities of this terminal were developed.
All the below listed parameters regarding the deep-water container terminal in Świnoujście should be treated as ZMPSiŚ S.A. conceptual solutions that may be modified as a result of the investor's proposal.
ZMPSiŚ S.A. assumes that the target level of transhipment of the deep-water container terminal in Świnoujście will be 1.5 million TEU, and the annual handling capacity 2.0 million TEU. All structures of the deep-water container terminal in Świnoujście will be located on the pier extending out to sea, with the exception of those located in the land part: facilities providing road and rail access along with the necessary infrastructure.

3.1 Land use
When choosing the means of developing the area of the deep-water container terminal in Świnoujście on land and sea, ZMPSiŚ S.A. assumes the minimum possible interference in the environment, including the surrounding nature, as well as the use of the forest area as a natural screen protecting the residential area from noise generated by port activities, thanks to the considerable distance of the terminal from residential buildings.

3.2. Sea access and operational parameters of the container pier

Approach fairway

Access to the projected deep-water container terminal in Świnoujście is provided by a deepened western approach fairway with a technical depth of 14.5 m, giving the possibility of movement for  vessels with a maximum draft of 13.0 m. Ultimately, after reconstructing the northern approach to the technical depth of 17.0 m - vessels with a draft of up to 15.5 m will be able to call the deep-water container terminal in Świnoujście. Therefore, all hydro technical structures: quays, turning basins and entrance fairway to the outer port must be prepared with the target technical depth of 17.0 m. Width of the northern approach fairway: up to 11.0 km = 220 m and from 11.0 km = 500 m.

Protective breakwater

Protective detached mound breakwater will ensure wave shelter for the terminal area, with limitation of the magnitude of undulation in the port basin to 1 m, as well as it shall enable further expansion of the external port towards the East. The designed length of this breakwater is L = 2 041 m.

Turning circle and port basin

A full-size turning circle with a diameter of 800 m, will allow easy manoeuvring of ships with a total length Lc = 400 m, connected to a 400 m to 580 m wide port basin.

Container pier

The area of the pier must ensure the location of all facilities necessary for a smooth functioning of the deep-water container terminal in Świnoujście with a handling capacity of 2.0 million TEU per year. The assumed by ZMPSiŚ S.A. length of the mooring line is 1 300 m, as necessary for the location of at least two quays for ocean going vessels and one quay for feeder units.

The investor will build a container pier at his own expense and risk, and adapt it to his needs, i.e. the operation of a public deep-water container terminal.

Facilities and handling equipment used at the container pier will depend on the needs specified by the investor, with the proviso that they must be sufficient to meet the general criteria indicated by the ZMPSiŚ  S.A.

The detailed scope and conditions of the investment implementation as well as the investment implementation date will be specified in the agreement signed between the investor and the ZMPSiŚ S.A.

3.3 Railway access

Rail access to the deep-water container terminal in Świnoujście is planned as a double access track with a length of 3 200 m, connecting the modernized railway infrastructure of the 401 line (Świnoujście Port - Szczecin Dąbie) with a group of arrival & departure and unloading/loading tracks with a total length of 10 400 m in the land part of the terminal and a group of unloading tracks located directly on the container pier, with a total length of 6 400 m. The railway system will be electrified (excluding transhipment tracks), giving complete block trains the possibility of entering the container pier directly, without unnecessary and time-consuming manoeuvring processes.

3.4 Road access

Road access to the deep-water container terminal in Świnoujście is planned as a 2 900 m long access road connecting the terminal with the designed S3 expressway at the Łunowo interchange, which route and planning solutions are implemented as part of the GDDKiA project entitled: "Construction of the S3 road on the Świnoujście - Troszyn section ". The further road connection of the terminal with the entry system and the pre-notification gate system for heavy goods vehicles has been designed in a collision-free system with two viaducts. An area for a buffer car park with 286 parking spaces for heavy vehicles is provided in front of the gate area.

4. Summary – general assumptions

According to the assumptions currently developed by ZMPSiŚ S.A., technical and technological solutions of the deep-water container terminal in Świnoujście (infrastructure and superstructure) should:

  •  enable the target annual handling level of 1 500 000 TEU (theoretical annual terminal’s capacity of 2 000 000 TEU) ;
  • at the final stage, ensure the possibility of simultaneous operation of at least three ships (two ocean going vessels and one feeder unit) on the quay of the length of about 1 300 m;
  • maximally decrease the negative impact of the deep-water container terminal in Świnoujście on the surrounding area and the natural environment, both during the construction and operation of the terminal. It is recommended to use technology and equipment with the lowest possible emissions, in accordance with the concept of so-called „green terminal”.
  • ZMPSiŚ S.A. allows the execution of investment in two stages;
  • ZMPSiŚ S.A. expects that the investor will provide action for the benefit of local community till the end of the first stage of the investment;
  • ZMPSiŚ S.A. assumes that the investment implementation period will not exceed three years from the date of signing of the contract with the investor.

5. Expression of interest

This invitation is addressed to entities with experience in the construction and operation of deep-water container terminals, in particular entities that have implemented at least one similar project in the past and have an experience in managing such terminals.

ZMPSiŚ S.A. requests all entities interested in the project of constructing a deep-water container terminal in Świnoujście to express their interest in this project by a submission which will contain at least the following information:

  • data identifying the entity interested in implementation of the project,
  • a brief description of the operations of the interested entity, with particular emphasis on the entity's experience in the construction and operation of deep-sea container terminals,
  • general description of the interested entity’s concept regarding the construction of a deep-water container terminal in Świnoujście,
  • projected time of implementation of the investment consisting in constructing of a deep-water container terminal in Świnoujście as per the concept proposed by the interested entity.

The declaration of interest in electronic form should be submitted in ".pdf" format.
ZMPSiŚ S.A. stipulates that the permissible total size of files sent via e-mail is 45 MB in one message. An application whose total size will be larger than 45 MB should be sent in several separate messages.

Along with the application there must be a current and made not sooner than 30 (thirty) days before the date of submission copy of the National Court Register attached, or a drawn not earlier than 30 (thirty) days before the date of submission printout of information collected under the Article 4 paragraph 4aa of the Act of 20 August 1997 on the National Court Register or an appropriate printout from another register or record in which the interested entity is registered in accordance with applicable regulations.
If the interested entity has its registered office or place of residence outside the territory of the Republic of Poland, instead of the documents referred to above, it shall submit a certificate from the competent judicial or administrative body of the seat or residence of the interested entity, specifying its legal status and a document or documents issued in the country in which the interested entity has its registered office or place of residence confirming the right to conduct business activity.
If in the country of the seat or residence of the interested entity, the documents referred to in the previous paragraph are not issued, the interested entity may replace them with a document containing the statement of the interested entity, which must also specify the persons authorized to represent the interested entity, as filed before the competent judicial or administrative authority, or a body of professional or economic self-government respectively of the country of the seat or residence of the interested entity, or with a notary public.
If the documents indicated above are available in electronic form, the interested entity may indicate the address of the page of the relevant office or body and the exact reference data enabling downloading of the relevant documentation.

The documents referred to above must be signed by persons authorized to represent the interested entity in accordance with the rules of representation set out in the relevant register or other document, or by a duly authorized representative of the interested entity. If the power of attorney or the document specifying the legal status of the entity indicates that several persons are jointly authorized to represent the interested entity, the submitted documents must be signed jointly by all persons authorized to represent the interested entity. The power of attorney must be attached to the declaration of interest, unless the authorization is based on other documents.

ZMPSiŚ S.A. stipulates that this information does not constitute: a declaration of its will, declaration of its will to conclude a contract or its bid, or announcement of an auction or tender, nor an invitation to conduct negotiations or to conclude a contract.
